Terms of Service

Keystone (the "Service") is a membership platform for Masonic bodies, such as Lodges, Chapters, Councils and Commanderies, and the Grand bodies they associate with. It is operated by JPSA Technologies, LLC, a company in the United States ("JPSA Technologies", "we", "us"). By signing in or using the Service you agree to these Terms. If you do not agree, do not use it.

These Terms apply to everyone who uses Keystone: platform staff, officers, and members. Our Privacy Policy explains how personal data is handled and is part of these Terms.

Keystone provides tools for member records, dues and finances, events, communication, training, a body's public website and related administration. Each body is its own space with its own records, officers and permissions.

• It is free. JPSA Technologies charges no fee to bodies or members for using Keystone, and a body can export its records at any time.
• It is invitation-only. There is no self-registration and no self-service way to create a body. Accounts arrive by invitation from a body, and only the platform operator creates a new body.
• Support is provided by JPSA Technologies, LLC. Your first point of contact is your body's Secretary.
• Keystone is software, not a Masonic authority. Your Grand Lodge or other governing body decides membership, discipline and ritual matters. Keystone records what a body tells it; it does not make those decisions or replace the rules of your jurisdiction.

You agree to:

• use only the account you were invited to create, for yourself, and give accurate information;
• keep your sign-in methods (email access, passkey, authenticator app, any password) to yourself;
• set up the second factor Keystone requires, which is mandatory for everyone;
• tell your body's Secretary promptly if you think someone else has used your account.

You are responsible for what happens under your account. Sessions end after 30 minutes, and you may be asked to sign in again.

A body is responsible for the records it keeps and for how its officers use them. Officers agree to:

• enter and use member data only for the legitimate business of the body, and in line with its bylaws and the law;
• keep their permissions to their own office and not share their access;
• treat membership as sensitive information, and not disclose a member's membership or details outside what the body is entitled to do;
• answer members' requests about their data within 30 days (see the Privacy Policy);
• only import a roster or connect an outside site, such as a WordPress site, when the body is entitled to do so.

A body's records belong to the body, not to JPSA Technologies. A body can export everything it has put into Keystone, including in an encrypted form that only the body can open, and bodies that join or leave a Grand body keep their own records.

You agree not to use the Service to:

• break the law, a body's bylaws or another person's rights;
• harass, threaten or mislead anyone, or send spam, or content that is hateful or unlawful;
• access another person's account, another body's records, or any part of the system you are not permitted to;
• interfere with or overload the Service, or test its security without our written permission;
• upload malware or content you have no right to share;
• scrape, harvest or copy member data in bulk, other than through the exports and integrations the Service provides;
• pretend to be someone else or misstate your membership, office or affiliation.

Please report vulnerabilities to your Secretary for passing on to us, and do not publish an unfixed issue.

Keystone does not take payments itself and holds no payment account. Each body connects its own payment processor (for example Stripe, PayPal, Square or Authorize.net) with its own account, and a payment you make through a body's page is a payment to that body, processed by that processor under its own terms. Keystone never receives or stores your card number. JPSA Technologies is not a party to those payments, does not hold your money, and takes no fee from them.

You can also tell your body about a payment made outside Keystone, such as a Zelle or Venmo transfer. That report records nothing in the books until a treasurer has checked it. Refunds, disputes and any balance owed are matters between you and your body.

You keep ownership of what you and your body put into the Service. You give JPSA Technologies permission to store, process, display, back up and transmit it to the extent needed to run the Service for you and your body, for example sending email or sending member records to a WordPress site the body has connected. We do not use it for anything else.

The Service itself, including its design, code and documentation, belongs to JPSA Technologies or its licensors. You may use it as intended, but you may not copy, resell, or reverse-engineer it, except as the law allows.

• Suspension. An account can be suspended by its body or by us if it breaks these Terms, creates risk to others or to the platform, or if the body's membership rules call for it.
• You can leave. To close your account or erase your data, ask your Secretary (see the Privacy Policy). Some records must be kept, and the Privacy Policy says which.
• Ending the Service or a body. We may change or discontinue the Service or a feature. Where we can, we will give the bodies using it reasonable notice so they can export their records. When a body closes or merges, its data is archived and kept for seven years before it is deleted, unless the body signed a waiver for earlier deletion, and a legal hold stops deletion altogether.
• Sections that by their nature should survive ending (ownership, disclaimers, liability, governing law) do.

The Service is provided free, "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose. We work to keep it secure and available, but we do not promise that it will be uninterrupted, error-free or completely secure. Keystone has not been penetration tested by an outside party. Bodies should keep their own copies of records they cannot afford to lose; the export feature is there for that.

TO THE MAXIMUM EXTENT THE LAW PERMITS, JPSA TECHNOLOGIES, LLC AND ITS MEMBERS, MANAGERS AND VOLUNTEERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. BECAUSE THE SERVICE IS FREE, OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100).

Nothing here limits liability that cannot be limited by law, and some places do not allow some of these limits, so they may not apply to you in full.

You agree to be responsible for the consequences of your own breach of these Terms. A body is responsible, as between the body and JPSA Technologies, for the records and instructions its officers give.

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. Any dispute that cannot be settled informally will be brought in the state or federal courts located in [State], and you and we consent to those courts.

We may update these Terms. We will post the new version on this page with a new "Last updated" date. If you keep using the Service after a change, you accept the new Terms. If you do not agree, stop using it and ask your Secretary to close your account.
